SignFlow — Terms of Service
Last updated: 2026-10-23
DRAFT — not legal advice. This is a starter template to adapt with a qualified attorney before you rely on it. Replace the bracketed items and the governing-law section for your jurisdiction (the operator is based in Nigeria; confirm the right governing law and dispute venue with counsel).
1. Who we are
SignFlow ("SignFlow", "we", "us") provides software that lets you ("Customer", "you") send electronic-signature envelopes through the DocuSign eSignature API using your own DocuSign account. SignFlow is operated by [Legal entity name, address].
SignFlow is an independent product and is not affiliated with, endorsed by, or sponsored by DocuSign, Inc. "DocuSign" is a trademark of its respective owner.
2. The service
SignFlow offers two editions:
- Cloud edition — a hosted dashboard. You connect your own DocuSign account via OAuth; envelopes are sent from your account. We never receive your DocuSign password or RSA private keys.
- Self-hosted edition — software you download and run on your own infrastructure under a license key tied to an active subscription.
3. Accounts
You are responsible for your account credentials and for all activity under your account. You must provide accurate information and be authorized to bind your organization.
4. Subscriptions, fees, and renewal
The service is offered for USD $100 per month per account unless otherwise agreed in writing. Subscriptions renew automatically each month until cancelled. You can cancel at any time through the billing portal; cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law. Payment is processed by Stripe; your card details are handled by Stripe, not stored by us.
Your DocuSign account and any DocuSign fees or envelope-volume charges are separate and are your responsibility.
5. Acceptable use
You agree not to use SignFlow to: send unlawful, fraudulent, or infringing documents; send unsolicited bulk messages (spam) in violation of applicable law; impersonate others; or circumvent the access controls of SignFlow or DocuSign. You are responsible for having a lawful basis and any required consent to send documents to your recipients, including for bulk sends.
6. Your content
You retain all rights to the documents and recipient data you upload ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the service. Our handling of personal data is described in the Privacy Policy and, where applicable, the Data Processing Addendum.
7. Third-party services
The service depends on DocuSign, Stripe, Supabase, and hosting providers. Their availability and terms are outside our control, and your use of DocuSign is also governed by your agreement with DocuSign.
8. Self-hosted license
The self-hosted edition is licensed, not sold. Your license is non-exclusive, non-transferable, and valid only while your subscription is active. You may not redistribute, resell, or remove license checks from the software.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not warrant that the service will be uninterrupted or error-free. SignFlow is a convenience layer over DocuSign and does not provide legal advice about the validity or enforceability of any signature or document.
10. Limitation of liability
To the maximum extent permitted by law, SignFlow's total liability for any claim arising out of the service is limited to the amount you paid us in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
11. Termination
We may suspend or terminate accounts that violate these terms. You may stop using the service at any time. Sections that by their nature should survive termination (e.g., fees owed, disclaimers, limitation of liability) survive.
12. Changes
We may update these terms; material changes will be notified by email or in-app. Continued use after changes take effect constitutes acceptance.
13. Governing law
These terms are governed by the laws of [jurisdiction — confirm with counsel], without regard to conflict-of-laws rules.
